Latham & Watkins Advises on Brigade’s US$250 Million SPAC IPO

Cross-practice team represents special purpose acquisition company on its listing on the Euronext Amsterdam.

Latham & Watkins advised Brigade-M3 European Acquisition Corp., a special purpose acquisition company sponsored by Brigade SPAC Sponsor II LLC, with the strategic partner M3 Euro SPAC Sponsor I, LP, on its successful US$250 million raise via a private placement of units.

The company was incorporated in the Cayman Islands and listed on Euronext Amsterdam for the purpose of effecting a business combination with an operating company with significant operations in Europe, which has positively benefited from a structural shift caused by the COVID-19 pandemic or has been negatively impacted by a temporary dislocation caused by the COVID-19 pandemic.

The Latham team was led by London corporate partner Chris Horton, with London associates Haya Aftab and Tom Channing. Advice on U.S. securities laws and finance matters was provided by Austin corporate partner David Miller and New York finance partner David Hammerman; on funds matters by Washington, D.C. partner Amy Rigdon; on tax matters by London partner Karl Mah and New York partners Jiyeon Lee-Lim and Jocelyn Noll; and on regulatory matters by London partner Rob Moulton.
