Latham & Watkins Advises Spain's Largest Natural Gas Company on the Sale of Gas Distribution Assets

Transaction involves the sale of approximately 300,000 gas supply points.

Gas Natural Fenosa, Spain's largest natural gas company, has sold certain gas distribution assets in the Madrid region to Madrileña Red de Gas, a company controlled by Morgan Stanley Infrastructure, for €450 million. The transaction involves the sale of approximately 300,000 gas supply points. The sale, which is subject to the approval of the regulatory authorities, is a result of conditions imposed by the Spanish competition authority as part of the approval process for the merger between Gas Natural SDG, S.A. and Unión Fenosa, S.A. Latham & Watkins represented Gas Natural Fenosa with a corporate team led by mergers and acquisitions partner José Luis Blanco and associate Xavier Pujol.
