Latham & Watkins Advises Lenders in American Industrial Partners’ Take Private of SEACOR Holdings Inc.

Firm represents the term loan lenders in the transaction.

American Industrial Partners has successfully closed the previously announced tender offer for the outstanding shares of SEACOR Holdings Inc. The purchase price for the acquisition was financed in part with the net proceeds from a term loan facility.

Latham & Watkins LLP represented the term loan lenders in the transaction with a finance team led by New York partners Stelios Saffos and Peter Sluka and Houston counsel Bryce Kaufman, with Houston associates Brian Flynn and Kirby Swartz. Advice was also provided on tax matters by New York partner Jocelyn Noll, with New York associate Colleen O’Donnell; and on collateral and security matters by New York partner Larry Safran and New York counsel Brian Rock.
