Allison Eitman is a corporate associate in the New York office of Latham & Watkins and a member of the Mergers & Acquisitions Practice.

Ms. Eitman advises public and private companies and private equity firms across a range of industries in domestic and international transactions, including:

  • Carve-outs
  • Auction processes
  • General corporate matters

Her experience also includes representing boards of directors and special committees in connection with corporate governance and shareholder activism matters.

Ms. Eitman maintains an active pro bono practice, representing domestic violence victims in Violence Against Women Act (VAWA) cases, veterans with disabilities in partnership with the National Veterans Legal Services Program (NVLSP), and parents of special needs students in conjunction with the New York Legal Assistance Group (NYLAG), among others.

Ms. Eitman's representative experience includes:

  • The independent directors of NYSE-listed First Data in its US$22 billion stock-for-stock merger with Fiserv
  • One Rock Capital Partners in its acquisition of the Process Solutions business, a manufacturer and material sciences company, from Newell Brands, Inc.  
  • Cotiviti (NYSE), a leading payment accuracy and solutions provider, in its US$4.9 billion sale to Verscend Technologies, a portfolio company of Veritas Capital
  • Energy Capital Partners, along with a consortium of investors, in the US$17 billion acquisition of Calpine Corporation, a wholesale power generation company, operating natural gas-fired and geothermal power plants
  • The Board of Directors of PHH Corporation in connection with the company’s corporate governance arrangements with EJF Capital LLC
  • NRG Energy, Inc. in connection with the company’s corporate governance arrangements with Elliott Associates and Bluescape Energy Partners
