Ben Berman is a partner in the Finance Department of the Washington, D.C. office of Latham & Watkins and a member of the Banking and Private Equity Finance Practices.

Mr. Berman has represented borrowers in secured lending and other financing transactions, including:

  • Acquisition financings
  • Private equity and private debt subscription lines of credit
  • Fund level financings, cash-flow, receivables financings, and asset-based loans

In addition, he has worked for a variety of clients on matters involving secured finance issues and general corporate issues.

Mr. Berman’s recent matters include representing:

  • The Carlyle Group in connection with numerous acquisition financings, including in connection with the acquisitions of Albany Molecular Research, Veritas Technologies, Dealogic, Ortho-Clinical Diagnostics, Hamilton Sundstrand Industrial, a pharmacy benefit management services company, a provider of software solutions for healthcare professionals, LDiscovery, Landmark Aviation, and in connection with investments in Beats Electronics
  • Leonard Green & Partners in connection with the acquisition financing of CPA Global
  • Onex Corporation in connection with the acquisition financing of Save-a-Lot stores
  • Kohlberg Kravis Roberts & Co. in connection with the financing for the acquisition of Alliant Holdings and Capital Safety
  • A leading private equity and venture capital firm in connection with multiple acquisition financings
  • Numerous private equity and private debt fund lines of credit ranging in size from US$50 million to over US$4.5 billion including:
    • Umbrella facilities for multiple funds
    • Uncommitted and committed lines
    • Feeder fund structures
    • BDCs
    • SMUs and funds of one
    • Aggregator funds
  • Public companies including a major airline in connection with term and revolver loans
