Profile Experience

Denis Ivanov is a counsel in the Moscow office of Latham & Watkins. Mr. Ivanov has considerable experience representing underwriters, issuers, and depository banks on equity capital markets transactions and debt offerings, including securitizations. He has also extensively advised clients on cross-border acquisitions and disposals, corporate restructurings, financings, and re-financings. Prior to joining Latham, Mr. Ivanov practiced in the Moscow offices of leading international firms.

Mr. Ivanov’s representative experience includes advising:

  • The Central Bank of Russia (CBR) and Sberbank in connection with the US$5.2 billion SPO by CBR of Sberbank ordinary shares and global depositary receipts*
  • VTB Bank in connection with its US$3.3 billion SPO*
  • The CBR and Moscow Exchange in connection with the US$470 million offering by the CBR of shares in Moscow Exchange*
  • OGK-4 in connection with the US$5.7 billion simultaneous primary offering and secondary sale of shares – the largest direct non-oil and gas investment in Russia*
  • Uralkali in connection with the US$1.07 billion IPO*
  • Sberbank in connection with its US$1,75 billion note issuance*
  • Financial advisors in connection with the exchange offer by VimpelCom Ltd. for the shares and ADSs of OJSC VimpelCom – the first ever public US/Russian exchange offer*
  • MDM Bank in connection with the securitization of its auto loan portfolio in the US$430 million offering of three tranches of floating rate notes by Taganka Car Loan Finance, the largest Russian car-loan securitization to date*
  • Agency for Housing Mortgage Lending in connection with its mortgage-backed securities issuance structure, including design of structure and legislative drafting necessary for its implementation.*
  • ENRC in connection with the exchange of Kazakh state-owned shares in ENRC’s operating companies for a share in the holding company and related arrangements*
  • Russian and foreign investors in connection with numerous joint ventures, sales, and acquisitions of Russian, CIS, and international businesses*
  • Mosenergo in connection with its €415 million Hermes-insured framework facility agreement and other borrowings from leading European banks*
  • Mirax Group in connection with US$300 million secured syndicated loan and its subsequent restructurings*
