Kiara Vaughn is an associate in the Boston office of Latham & Watkins and a member of the Data & Technology Transactions Practice.

She has counseled a variety of clients on ever-evolving regulatory compliance and provided transactional support on mergers, acquisitions, and capital markets offerings. Ms. Vaughn focuses on data privacy, cybersecurity, and regulatory matters across various industries.

Ms. Vaughn is a Certified Information Privacy Professional (CIPP/US) and regularly advises clients on various privacy and technology issues, including compliance with the FTC Act, GLBA, FCRA, and CCPA requirements. Her experience includes advising on privacy and data protection matters; conducting data privacy and cybersecurity diligence to assess potential liability, compliance, and integration issues; and assisting in the creation and evaluation of privacy and security programs.

Prior to joining Latham, while in law school, Ms. Vaughn participated in legal clinics as a student advocate. In the Custody and Support Assistance Clinic, Ms. Vaughn assisted low-income clients on matters of child and spousal support, custody, and domestic violence. As a student advocate for the Detkin Intellectual Property Clinic, Ms. Vaughn assisted clients with the trademark prosecution process and conducted comparative research regarding international intellectual property and related laws.

Ms. Vaughn’s recent experience includes advising on the data privacy and technology transactions aspects of the following transactions:

  • Anaqua, a portfolio company of Astorg Asset Management, in its acquisition of O P Solutions, a provider of IP management software and practice automation 
  • Axalta Coating Systems Ltd. in its US$500 million senior notes offering 
  • AxleTech, a portfolio company of The Carlyle Group, in the sale of its electric vehicle system division to Allison Transmission, and in its sale to Meritor
  • Dairy Farmers of America in its acquisition of 44 fluid and frozen facilities of Dean Foods, a food and beverage company, in connection with a Chapter 11 bankruptcy process 
  • Facebook in its acquisition of Giphy, an online database and search engine that provides a library of animated GIFs and stickers 
  • Facebook Overseas, Inc. in its purchase of Mapillary AB, a Swedish street-level image mapping platform, in a deep dive diligence process around data privacy and intellectual property concerns as well as commercial contracts reviews
  • The Raine Group, a global boutique investment bank, on regulatory aspects including expansion throughout the world
  • Whip Networks (dba TV Time) in its acquisition of Mediamorph, a provider of cloud-based management software
