Marcela Ruenes is a finance associate and a member of the Latin America Practice in Latham & Watkins' New York office.

Ms. Ruenes represents investment and commercial banks, borrowers, and private equity firms in a range of domestic and cross-border finance transactions, including:

  • Leveraged financings
  • Acquisition financings
  • Debt restructurings, including debtor-in-possession and exit financings
  • Special situations
  • Margin lending
  • Investment grade loans

As part of her active pro bono practice, Ms. Ruenes represents victims of domestic violence in obtaining protection under VAWA and legal status in the United States, as well as individuals seeking asylum.

Ms. Ruenes serves as Global Leader of Latham's Hispanic/Latin American Lawyers Group.

 

 

 

In recent transactions, Ms. Ruenes has advised:

  • Crédit Agricole and Sumitomo Mitsui Banking Corporation in a US$350 million senior secured asset based financing relating to the construction, ownership and leasing of certain vessels and fluvial equipment in Colombia (winner of the Syndicated Loan Deal of the Year 2015 by LatinFinance)
  • Linzor Capital in the financing for its acquisition of GE Capital’s equipment lending and leasing platform in Mexico
  • Partners Group and its joint venture with Fermaca Luxembourg, S.a r.l., Fermaca Pipeline Ojinaga, S. de R.L. de C.V. on the bidding and financing terms for the Ojinaga Pipeline Project in Mexico
  • Group of lenders in the refinancing of existing credit facilities for SemGroup Corporation, a midstream oil and gas company
  • The Royal Bank of Scotland Group plc on the upsizing of existing revolving credit facility for Rose Rock Midstream, L.P., a developer and operator of a diversified portfolio of midstream energy assets
  • The Royal Bank of Scotland Group plc on the amendment and extension of existing revolving credit facility for Rose Rock Midstream, L.P., a developer and operator of a diversified portfolio of midstream energy assets
  • Banorte, S.A. in the financing of the construction and operation of a major pipeline within Mexico, entailing advice in the bidding process*
