Samuel Rettew represents private equity firms and public and private companies in all types of capital markets transactions, with a particular focus on initial public offerings.

Mr. Rettew advises clients on public and private financing transactions, including:

  • Initial public offerings
  • Follow-on offerings
  • Secured and unsecured debt offerings
  • Committed debt financing
  • Early-stage financing
  • DeSPACs

He also advises clients on general corporate governance, including public company securities matters.

Mr. Rettew brings a results-oriented approach to highly complex transactions, frequently executed across borders, in novel regulatory environments, or on demanding timelines. He draws on his background practicing in the Washington, D.C. and Houston offices and serving on the firm’s Training & Career Enhancement Committee to efficiently connect clients to Latham’s global cross-practice experience.

Mr. Rettew previously led Latham’s LBGTQ+ Lawyers Group in the Washington, D.C. office, reflecting his commitment to collaboration and mentoring.

  • Conflicts Committee of Hi-Crush Partners LP in the US$94 million acquisition of Hi-Crush Augusta LLC by Hi-Crush Partners LP
  • Access Midstream Partners with respect to general corporate representation and securities matters
  • Regency Energy Partners LP in its US$885.8 million debt offering
  • Energy Transfer Equity, L.P. in its US$700 million debt offering
  • Underwriters in the US$125 million initial public offering and the US$600 million debt offering for North Atlantic Drilling Ltd.
  • Underwriters in the US$422.71 million initial public offering of RSP Permian, Inc.
  • Underwriters in the US$660 million initial public offering of Frank’s International N.V.
