Shanshan Xiao is an associate in the Hong Kong office of Latham & Watkins and a member of the Corporate Department.

Ms. Xiao’s practice focuses on cross-border mergers and acquisitions, foreign direct investment in China, Chinese outbound investments, and general corporate matters.

Prior to joining Latham, she worked as an associate at a top international law firm in Shanghai, China.

Ms. Xiao's recent experience includes advising:

  • ORIX Asia Capital Limited in its approximately US$105.6 million subscription for new shares and warrants to be issued by Hong Kong-listed United Photovoltaics Group Limited, a leading investor and operator of photovoltaics power plants in China
  • Qihoo 360 in relation to the acquisition (through one of its affiliates) of minority shares from the founder and management in a Cayman holding company of a major PRC Internet security provider
  • FountainVest Partners on the cross-border leveraged buyout of US-based Key Safety Systems, Inc., the 4th largest supplier of passive safety systems to the auto industry; the transaction is FountainVest’s first acquisition outside of Asia
  • Platinum Equity in its divestiture of the European and Asian operations of Mactac, a global pressure-sensitive materials business, to Avery Dennison
  • A US oil and gas company on its proposed disposal of oil and gas assets in the US to a listed PRC company
  • The trustees of the Kodak Pension Plan (KPP) on the Chinese aspect of a US$650 million acquisition of imaging business from Eastman Kodak Company*
  • Syncreon, a global integrated logistics services provider on the PRC aspects of the €32 million acquisition of Compuspar, a global computer components manufacturer*
  • A leading US manufacturer of energy storage products on the establishment of a wholly foreign owned trading company and general corporate issues in China*
  • A leading UK university on its joint education programs with Chinese universities in Beijing, Shanghai, Jiangxi, and Sichuan provinces*
  • A Chinese company on developing and constructing an F-1 circuit in southern China*
  • A major US and Japan electronic entertainment company on launching entertainment network in China*
