Mr. Ebadat advises on complex business transactions for both public and private companies, including mergers and acquisitions, private equity and venture capital investments, startup and emerging company financings, joint ventures, leveraged buyouts, both sponsor- and target-side special purpose acquisition company business combinations, recapitalizations, executive compensation and equity incentive arrangements, manufacturing agreements, and related general corporate counseling.

Mr. Ebadat has worked on transactions in a variety of industries, including healthcare, aerospace, infrastructure, conventional energy and oilfield services, renewables and clean energy, transportation and travel, engineering and construction, food technology, manufacturing, and financial services.

Mr. Ebadat's experience includes advising:

  • Clayton, Dubilier, & Rice on its US$2.5 billion sale of Sirius Computer Solutions to CDW Corporation*
  • Clayton, Dubilier, & Rice and KKR in their US$5.3 billion acquisition of Cloudera, an enterprise data cloud company*
  • Vector Acquisition Corporation on its US$4.1 billion definitive merger agreement with Rocket Lab USA*
