Timur Bayramov is an associate in the Moscow office of Latham & Watkins. His practice focuses on mergers and acquisitions. 

Mr. Bayramov has acted for both international and Russian companies and his practice areas include cross border acquisitions, private equity, and corporate restructurings across a variety of industries (e.g., retail, banking, oil, and gas). Mr. Bayramov also advises clients on general matters of Russian corporate and antitrust law.   

Mr. Bayramov’s representative experience includes advising:

  • PJSFC Sistema in connection with the sale of a minority stake in JSC Pharmaceutical Enterprise Obolenskoe to Russia China Investment Fund 
  • PJSFC Sistema in connection with a joint acquisition of an equity interest in JSC Pharmaceutical Enterprise Obolenskoe, a leading Russian pharmaceutical company 
  • A consortium of three Indian oil and gas companies, Oil India Limited, Indian Oil Corporation Limited, and Bharat PetroResources Limited, on the acquisition from Rosneft of:
    • A 23.9% stake in JSC Vankorneft, which holds the Vankor Licenses in Eastern Siberia
    • A 29.9% stake in Taas-Yuriakh Neftegazodobycha, a Russia-based oil and gas exploration and production company
  • Petrocas Energy Venture on sale of 49% in Petrocas Energy International Limited to Rosneft
  • Solway Investment Group in connection with the sale of Rudnik SASA Makedonska Kamenica, a Macedonia-based mining field engaged in production of lead-zinc metal, to Orion Mine Finance Group and Fusion Capital
  • Mobile TeleSystems in relation to a purchase of a number of telecommunications subsidiaries of OJSC SMARTS
  • Sistema JSFC and Mobile TeleSystems OJSC on their acquisition of a 21.6% stake in OZON Holdings, an e-commerce store operator
  • RDIF, EBRD, and CapMan Russia II Fund, in connection with their co-investment into Maykor, the leading Russian IT outsourcing business
  • EBRD on disposal of a portion of its shareholding in CJSC “INK-Capital” (holding company of the Irkutsk Oil Group) to Goldman Sachs International  
  • Inter RAO UES in connection with acquisition of shares in OGK-3*
  • Rosneft in connection with the acquisition of 51% in ITERA*
  • Goldman Sachs in connection with the structured acquisition of ordinary shares in Bank of Moscow*
  • Inter RAO UES in connection with acquisition of electric generation business of Bashkirenergo*
  • Mechel in connection with admittance to trading of its preferred shares on NYSE, MICEX and RTS*
