Working With Clients on Regional and Global Issues
Latham’s Nordic Practice represents clients across a spectrum of industries including banking, oil and gas, mining and metals, biotechnology, software, telecommunications, and shipping. In addition to transactional advice, the firm also advises Nordic companies with their US Securities and Exchange Commission (SEC) reporting obligations, litigation, and regulatory matters including antitrust disputes.
The firm’s Nordic capital market transaction experience is broad, and includes secondary equity offerings, private placements of equity, and debt securities, including high-yield debt, accelerated book-built offerings, block trades, and equity linked transactions.
Latham has extensive experience in cross-border mergers and acquisitions transactions, involving privately owned and public company targets, and public and private financings of such transactions. For example, the practice advised the Nordic metals and mining conglomerate Norsk Hydro on its 2010 rights offering and its US$4.9 billion acquisition of Vale SA’s aluminum business. The firm also assisted the underwriters in the €1.5 billion IPO of Danish jewelry maker Pandora.
Finally, private and public companies also turn to Latham’s Nordic team for various corporate matters, including international contracts and commercial arrangements, employment matters, and intellectual property issues.
